Terms and Conditions

These Terms & Conditions govern purchases made from Invertex through our website, quotations, invoices, purchase orders, WhatsApp, email, telephone, physical sales or any other sales channel.

By placing an order with Invertex, making payment against a quotation or invoice, accepting delivery or collecting goods, the customer confirms acceptance of these Terms & Conditions.

1. General

Invertex supplies air-conditioning spare parts, compressors, controls, components, accessories, tools and related products.

Product availability, specifications, prices and delivery times are subject to confirmation at the time of order.

An order is considered accepted once Invertex issues an order confirmation or invoice, accepts payment, places the corresponding procurement order with its supplier or otherwise confirms acceptance of the order.

Invertex reserves the right to reject or cancel an order before dispatch in the event of stock unavailability, supplier cancellation, obvious pricing or listing errors, suspected fraud, regulatory restrictions or other circumstances preventing fulfilment.

Where Invertex cancels an order that has already been paid and the customer is not responsible for the cancellation, the amount paid for the unsupplied goods will be refunded.

2. Product Selection, Information & Compatibility

Customers are responsible for verifying that the products ordered are correct and suitable for their intended application before placing the order.

This includes verifying, where applicable:

• Part number and model number;
• Equipment compatibility;
• Electrical specifications and voltage;
• Refrigerant type;
• Capacity and technical specifications;
• Dimensions and connections;
• Software, control or communication compatibility;
• Installation requirements; and
• Operating conditions.

Where Invertex assists with product identification or selection, such assistance is based on the information provided by the customer.

The customer is responsible for providing complete and accurate equipment details, including model numbers, serial numbers, photographs, error codes and existing part numbers where requested.

Unless Invertex expressly confirms compatibility in writing based on complete equipment information, final responsibility for product selection remains with the customer.

Invertex shall not be responsible for an incorrectly selected product where the item supplied correctly corresponds with the part number, model, specification or product ordered or approved by the customer.

3. Prices & VAT

Unless otherwise stated, all prices are in UAE Dirhams (AED).

VAT will be charged where applicable in accordance with UAE regulations.

Prices may change without prior notice until an order has been accepted by Invertex.

Quotations are valid only for the validity period stated on the quotation.

Where no validity period is stated, Invertex may revise the quotation before acceptance due to changes in supplier pricing, exchange rates, freight, customs duties, availability or other procurement costs.

4. Payment Terms & Ownership

Unless expressly agreed otherwise in writing, all orders are processed strictly against 100% advance payment before collection or delivery.

Receipt of a quotation does not constitute reservation of stock.

Invertex is not required to reserve, procure, prepare, release or dispatch goods until the required payment has been received in cleared funds.

For customers expressly granted credit facilities by Invertex in writing, payment must be made within the agreed credit period.

Invertex reserves the right to suspend deliveries, orders, services or credit facilities where any amount owed by the customer is overdue.

Ownership of unpaid goods remains with Invertex until the corresponding purchase price has been paid in full.

5. Order Cancellation

Once an order has been accepted, cancellation is subject to Invertex’s written approval.

Orders for specially sourced, imported, non-stock, custom, made-to-order or specifically procured products cannot normally be cancelled once Invertex has placed the corresponding order with its supplier or otherwise committed to procurement.

Deposits and advance payments relating to such orders may be non-refundable where Invertex has already incurred, committed or become liable for corresponding costs.

Cancellation resulting from a change in project requirements, incorrect ordering, incorrect diagnosis, customer preference, export difficulties or cancellation by the customer’s own client does not create an automatic right to cancel the Invertex order.

6. Returns & Refunds

All sales are final unless a return, replacement, exchange or refund is expressly approved by Invertex in writing.

Invertex does not provide an automatic return, exchange or refund merely because:

• The customer changed their mind;
• The product is no longer required;
• The customer’s project was cancelled or changed;
• The customer ordered the incorrect product, model, quantity or specification;
• The customer incorrectly diagnosed the equipment fault;
• The supplied product does not resolve the customer’s equipment problem;
• The product is incompatible with the customer’s equipment where the product supplied matches the item ordered;
• A different component is subsequently identified as the cause of the equipment fault;
• The customer found the same or a similar product elsewhere at a different price;
• The customer is unable to resell the product;
• The customer’s own customer cancelled or rejected the order;
• The customer is unable to export, import, transport or clear the product in another country; or
• The customer no longer wishes to proceed with the repair or project.

7. Discretionary Returns

Where Invertex voluntarily agrees to accept a return, such acceptance is a commercial goodwill exception and does not establish an obligation to accept similar returns in the future.

Unless otherwise agreed in writing, returned goods must be:

• Unused;
• Uninstalled;
• Unprogrammed;
• Unenergised;
• Undamaged;
• Complete;
• In original resalable condition; and
• In their original packaging with all accessories, documentation, labels and seals intact.

Invertex reserves the right to inspect goods before approving any return, credit or refund.

Where Invertex agrees to a discretionary return, acceptance may be conditional upon deduction of reasonable restocking, inspection, transportation, handling, supplier cancellation or other costs associated with the return. Any such conditions will be communicated as part of the return approval.

8. Installed, Opened & Non-Returnable Products

Due to the technical nature of HVAC spare parts, electrical components, electronic controls and accessories, products that have been installed, connected, wired, programmed, commissioned, energised, operated or otherwise used are not eligible for return, exchange or refund unless expressly approved by Invertex in writing.

Invertex may also refuse returns for:

• Specially ordered products;
• Products specifically procured for the customer;
• Non-stock products;
• Custom or modified products;
• Electrical or electronic components that have been installed or connected;
• Compressors that have been installed, connected, charged, operated or modified;
• Products with broken manufacturer seals;
• Products with altered or removed labels or serial numbers;
• Products damaged after delivery or collection;
• Products damaged through incorrect handling, storage or transportation;
• Opened consumables;
• Clearance or final-sale products; and
• Products that can no longer reasonably be resold as new.

9. Inspection, Shortages, Damage & Incorrect Supply

Customers are responsible for inspecting goods promptly following delivery or collection.

Visible shipping damage, shortages, incorrect quantities, incorrect products or other visible discrepancies should be reported to Invertex within 24 hours of delivery or collection together with reasonable supporting evidence.

Invertex may request supporting information including:

• Invoice or order number;
• Product photographs;
• Packaging photographs;
• Serial numbers;
• Equipment model and serial numbers;
• Delivery documentation; and
• Other information reasonably required to investigate the matter.

Failure to report a visible discrepancy promptly may affect Invertex’s ability to verify the condition of the goods at the time of delivery or pursue a corresponding claim against a courier, freight provider or supplier.

10. No Invertex Warranty or Performance Guarantee

Unless expressly stated otherwise in writing, spare parts, compressors, components, controls, accessories, tools and related products are supplied by Invertex on a supply-only basis without any separate voluntary warranty provided by Invertex.

Invertex does not provide any separate contractual guarantee regarding:

• Product performance after installation;
• Product lifespan after installation;
• Suitability for a particular repair;
• Resolution of an equipment fault;
• System performance after replacement of a component; or
• Compatibility where the customer selected or specified the product.

The customer acknowledges that the performance and service life of spare parts and accessories depend on numerous factors outside Invertex’s control, including diagnosis, system condition, product selection, installation workmanship, wiring, electrical supply, refrigerant condition, oil condition, contamination, commissioning, programming, operating conditions and maintenance.

Installation or replacement of a component does not constitute a guarantee by Invertex that:

• The customer’s equipment will operate correctly;
• The original fault will be resolved;
• Another component will not subsequently fail; or
• The installed product will achieve any particular service life.

A product failing after installation does not, by itself, establish that the product was defective when supplied.

11. Diagnosis, Installation & Third-Party Responsibility

Unless specifically stated otherwise in the quotation or invoice:

The quotation and product price do not include diagnosis, installation, programming, commissioning, configuration, troubleshooting or on-site services.

Products are supplied on a supply-only basis.

The customer is responsible for ensuring that:

• The equipment fault has been correctly diagnosed;
• The correct product has been selected;
• The product is compatible with the equipment;
• Installation is performed by suitably qualified personnel;
• Installation procedures are followed correctly;
• Wiring and electrical supply are correct;
• Refrigerant and oil conditions are appropriate;
• The system is clean and free from contamination;
• Programming and configuration are correct; and
• The product is correctly commissioned and operated.

Where a technician, contractor, installer, consultant or other third party diagnoses the system and instructs the customer to purchase a particular component, responsibility for the accuracy of that diagnosis remains with the party carrying out the diagnosis unless Invertex has separately contracted to provide diagnostic services.

Invertex shall not be liable for damages, losses, product failures, equipment failures or other consequences resulting from improper diagnosis, incorrect product selection by the customer or a third party, improper installation, wiring, programming, commissioning, handling, maintenance or use of supplied products.

The fact that a supplied product does not resolve the customer’s underlying equipment problem does not establish that the product is defective.

12. Manufacturer Warranty, Where Applicable

Where a manufacturer expressly provides a warranty for a particular product, that warranty is governed by the applicable manufacturer’s terms, conditions, limitations and claim procedures.

The existence of a manufacturer warranty does not constitute a separate or additional warranty issued by Invertex.

Any handling, coordination or facilitation of a manufacturer warranty claim by Invertex does not create or extend any separate warranty by Invertex.

13. Separate Installation or Technical Services

Where Invertex separately agrees in writing to provide installation, programming, commissioning, inspection, diagnosis or another technical service, the scope of that service will be limited to what is expressly stated in the applicable quotation or agreement.

Any work outside the stated scope may be separately chargeable.

Supply of a product does not imply that installation, programming, commissioning, diagnosis or technical support is included.

Provision of general technical information or assistance does not constitute acceptance by Invertex of responsibility for the customer’s overall system diagnosis, design, installation or repair.

14. Delivery, Collection & Transfer of Risk

Delivery dates and lead times provided by Invertex are estimates unless expressly confirmed as guaranteed in writing.

Delivery may be affected by:

• Supplier availability;
• Manufacturer production schedules;
• International transportation;
• Customs clearance;
• Courier delays;
• Port congestion;
• Government restrictions;
• Force majeure events; or
• Other circumstances outside Invertex’s reasonable control.

Invertex will take reasonable steps to fulfil accepted orders within the indicated timeframe.

Where goods are collected by the customer, risk in the goods passes to the customer upon collection.

Where Invertex arranges delivery, risk passes to the customer upon delivery to the agreed delivery location.

Where the customer appoints its own courier, freight forwarder, transporter or other collection agent, risk passes to the customer when the goods are handed over to that party.

Customers are responsible for ensuring that any person collecting goods on their behalf is authorised to do so.

15. Export, Customs & Destination-Country Requirements

Unless expressly agreed otherwise in writing, Invertex sells goods for supply in the UAE and does not guarantee that any product can legally or practically be exported, imported, transported, registered, installed or used in another country.

Where a customer intends to export goods from the UAE, the customer is responsible for checking all applicable requirements before placing the order.

These may include:

• Export restrictions;
• Import restrictions;
• Customs requirements;
• Import or export permits;
• Product registrations;
• Product certifications;
• Shipping restrictions;
• Dangerous-goods requirements;
• Sanctions and trade restrictions;
• Refrigerant or environmental regulations;
• Destination-country technical standards; and
• Local conformity requirements.

A customer’s inability to export, import, ship, clear, register, resell or use otherwise correctly supplied goods outside the UAE does not create a right to cancel the order, return the goods or obtain a refund.

Where Invertex expressly agrees in writing to provide export-related documents or assistance, its responsibility is limited to the specific documentation or service agreed.

16. Special Orders & Procurement

Certain products may be sourced specifically for a customer from manufacturers, distributors, overseas suppliers or other sources.

Lead times provided for such products are estimates based on information available when the order is placed.

Once procurement has commenced, special orders may not be cancelled or refunded unless Invertex expressly agrees otherwise in writing.

The customer acknowledges that supplier production schedules, international freight, customs procedures and circumstances outside Invertex’s control may affect estimated delivery times.

17. Manufacturer Part Number Changes & Superseded Parts

Manufacturers may replace, supersede or revise product and part numbers from time to time.

Where an original part number has officially been superseded by a manufacturer, Invertex may supply the manufacturer’s recognised replacement or successor part where the manufacturer identifies it as the replacement for the original item.

Where a replacement would materially alter the intended functionality or specification of the product, Invertex will seek customer approval before supply.

18. Product Images & Website Information

Invertex makes reasonable efforts to ensure that product descriptions, photographs and technical information are accurate.

Product photographs may be illustrative.

Packaging, labelling, colour, appearance or minor product characteristics may be changed by a manufacturer without prior notice where such changes do not materially alter the identity or intended technical function of the product.

For technical spare parts, customers should rely primarily on the stated manufacturer, model number, part number and technical specifications rather than photographs alone.

Invertex will not knowingly substitute a materially different product without customer approval.

19. Technical Information & Advice

Any technical information provided by Invertex is intended as general assistance and does not replace professional diagnosis, engineering assessment, manufacturer instructions or proper technical procedures.

Unless Invertex has expressly been contracted to provide a diagnostic or engineering service, technical suggestions made by telephone, WhatsApp, email, website or during product selection do not constitute a guarantee that:

• The diagnosis is correct;
• A particular component has failed;
• A proposed product will resolve the problem; or
• The customer’s equipment will operate correctly after installation.

The customer remains responsible for obtaining an appropriate technical assessment where necessary.

20. Limitation of Liability

To the fullest extent permitted by applicable law, Invertex shall not be liable for indirect, incidental, special or consequential losses arising from the supply, installation, use, failure or inability to use a product.

This includes, where applicable:

• Loss of profit;
• Loss of revenue;
• Loss of production;
• Loss of business;
• Business interruption;
• Loss of contracts;
• Equipment downtime;
• Labour costs;
• Removal or reinstallation costs;
• Refrigerant costs;
• Transportation costs;
• Accommodation or travel expenses;
• Loss resulting from incorrect diagnosis;
• Damage resulting from incorrect installation; or
• Claims made against the customer by the customer’s own client.

Invertex shall not be liable for losses or damage caused by improper diagnosis, installation, wiring, programming, commissioning, handling, maintenance or use performed by the customer or any third party.

For commercial transactions, Invertex’s aggregate liability arising from a particular product shall not exceed the amount actually paid to Invertex for that product.

21. Consequential Costs Following Product Failure

Unless expressly agreed otherwise in writing, Invertex shall not be responsible for ancillary costs incurred in diagnosing, removing, transporting, reinstalling, programming, commissioning or replacing a product.

This includes technician labour, refrigerant, consumables, transportation, equipment rental, access equipment and other associated costs.

The customer’s purchase of a replacement component from Invertex does not transfer responsibility for the customer’s overall equipment, system condition, diagnosis or repair outcome to Invertex.

22. Force Majeure

Invertex shall not be responsible for failure or delay caused by events outside its reasonable control, including:

• Natural disasters;
• War or civil disturbance;
• Government restrictions;
• International trade restrictions;
• Supplier shutdowns;
• Strikes;
• Transport disruption;
• Port or customs delays;
• Cyber incidents;
• Epidemics;
• Manufacturer shortages;
• Raw-material shortages; or
• Other force majeure events.

Where such an event materially affects an order, Invertex may extend the delivery period, offer an alternative solution or cancel the affected portion of the order and refund amounts received for goods that will not be supplied.

23. Intellectual Property & Third-Party Brands

All website content belonging to Invertex, including text, graphics, website design, photographs created by Invertex, logos and other proprietary material, may not be copied, reproduced or commercially used without written permission.

Third-party trademarks, manufacturer names, product names and logos remain the property of their respective owners.

Invertex supplies spare parts, components, controls, accessories and other products for various HVAC and related brands. References to third-party brand names, trademarks or logos are used for product identification and compatibility information.

Unless Invertex expressly identifies itself as an authorised dealer, distributor, partner or representative of a particular brand, the use of that brand’s name, trademark or logo should not by itself be interpreted as indicating an agency, distributorship, endorsement or other formal affiliation.

24. Privacy

Personal information provided to Invertex will be handled in accordance with applicable UAE data-protection requirements and Invertex’s Privacy Policy.

Customers should refer to the separate Privacy Policy published on the Invertex website for further information.

25. Business & Trade Customers

For commercial and trade transactions, these Terms & Conditions, together with the applicable quotation, invoice and agreed credit terms, constitute the commercial terms governing the transaction.

Nothing in these Terms is intended to create any warranty, representation, obligation or undertaking beyond those expressly agreed by Invertex in writing.

26. Customer Purchase Orders & Conflicting Terms

Submission of a customer’s purchase order does not constitute acceptance by Invertex of the customer’s standard purchasing terms.

Any terms printed, incorporated or referenced on a customer’s purchase order, procurement portal or other document that conflict with Invertex’s Terms & Conditions will not apply unless expressly accepted by Invertex in writing.

If there is a conflict between these Terms & Conditions and a specific written quotation, contract or agreement expressly issued or accepted by Invertex, the specific written agreement will take priority for that particular transaction.

27. Quotations

A quotation represents Invertex’s commercial offer based on the information available at the time it is prepared.

Unless expressly stated otherwise:

• Orders are processed against 100% advance payment;
• The quotation is for supply of the listed products only;
• Installation is excluded;
• Programming is excluded;
• Commissioning is excluded;
• Diagnosis and troubleshooting are excluded;
• On-site services are excluded;
• No separate voluntary warranty is provided by Invertex;
• Product compatibility remains subject to the customer’s verification;
• Invertex is not responsible for incorrect diagnosis by the customer or third parties;
• Invertex is not responsible for improper installation, programming, commissioning or use;
• Delivery times are estimates; and
• These Terms & Conditions form part of the quotation and resulting transaction.

Payment against a quotation constitutes acceptance of the quotation and these Terms & Conditions.

28. Electronic Acceptance & Acceptance by Payment

Where a quotation, proforma invoice, invoice, payment link, website checkout or other sales communication refers to these Terms & Conditions or provides access to them, completion of the purchase or payment by the customer constitutes acceptance of these Terms & Conditions whether or not the customer has separately signed them.

Acceptance may also be evidenced by written confirmation, electronic approval, collection of the goods or acceptance of delivery.

29. Entire Agreement & Changes to Individual Orders

These Terms & Conditions, together with the applicable quotation, invoice, written order confirmation and any specific written agreement issued or accepted by Invertex, constitute the terms governing the relevant transaction.

No verbal statement, discussion, representation or understanding shall modify the agreed terms unless confirmed in writing by Invertex.

Any amendment to a specific order must be expressly agreed by Invertex in writing.

30. Severability

If any provision of these Terms & Conditions is determined to be invalid, unenforceable or ineffective under applicable law, that provision shall apply to the maximum extent permitted and shall be adjusted only to the extent necessary.

The remaining provisions shall continue in full force and effect.

31. No Waiver

Failure by Invertex to enforce any provision of these Terms & Conditions on one occasion shall not constitute a waiver of its right to enforce that provision on another occasion.

Acceptance of a return, credit, replacement, discount, extension, goodwill payment or other commercial concession on one occasion does not create an obligation to provide the same concession in the future.

32. Governing Law & Jurisdiction

These Terms & Conditions and all transactions with Invertex shall be governed by the laws of the United Arab Emirates and the applicable laws and regulations of the Emirate of Dubai.

Any dispute arising from or relating to these Terms & Conditions or a transaction with Invertex shall be subject to the jurisdiction of the competent courts of Dubai, United Arab Emirates.

33. Changes to These Terms

Invertex may amend these Terms & Conditions from time to time.

Unless otherwise agreed in writing, the version of the Terms & Conditions in effect at the time an order is accepted will apply to that transaction.

Updated Terms & Conditions will apply to subsequent transactions from the date they are published or otherwise communicated.
